Webmatics Ltd – Terms of Service

These Terms of Service (“Terms”) govern your use of Webmatics Ltd (“Webmatics”, “we”, “us”, or “our”) services, including web hosting, domain registration, and related products (collectively, the “Services”). By creating an account or using our Services, you agree to these Terms.

1. General

• We provide hosting and related services to clients worldwide and maintain reliable, secure, and lawful infrastructure for all users.
• We may update these Terms from time to time. We will provide reasonable notice (e.g., in the Client Area or via email). Continued use of the Services after notice constitutes acceptance.

2. Acceptable Use

You agree to use the Services lawfully and responsibly. Prohibited activities include (without limitation):

• Violations of UK, EU, or international law (e.g., copyright, fraud, data protection, or consumer protection laws).
• Misrepresentation of identity, including impersonation of a company or individual, or operating a website under the name of an entity that has been dissolved or placed into liquidation.
• Hosting, transmitting, or distributing defamatory, obscene, harassing, or otherwise unlawful content.
• Storage or dissemination of pirated, cracked, or malicious software; content relating to hacking, malware, or unauthorised access.
• Adult/sexually explicit content of any kind.

We may suspend or terminate any account or domain involved in unlawful, misleading, or abusive activity, including suspected fraud or misrepresentation. We may cooperate with law enforcement, regulators, or insolvency practitioners where we reasonably believe unlawful conduct has occurred. 3. Account Responsibilities

• You are responsible for all activity under your account, including by employees, agents, or third parties.
• You must keep contact and billing information accurate and current, safeguard login credentials, and notify us promptly of unauthorised access.
• You may not resell, assign, or transfer Services without our prior written consent.

4. Billing and Payment

• Billing cycles: monthly, quarterly, semi-annual, or annual (as selected during order).
• Invoices are due on the stated due date. Non-payment within 5 days may result in suspension; non-payment within 30 days may result in termination.
• Domain registration fees and certain setup/third-party charges are non-refundable.
• Recurring billing continues until cancelled prior to renewal. We accept major credit/debit cards.

5. Service Availability & Limitation of Liability

While we strive for high availability, interruptions may occur due to maintenance, hardware failure, network issues, or causes beyond our control.

• To the fullest extent permitted by law, Webmatics is not liable for indirect, incidental, or consequential damages (including loss of business, profits, or data).
• Our total aggregate liability for any claim shall not exceed the fees paid by you for the Services during the period in which the claim arose.
• Some Services rely on third-party providers. We are not responsible for failures attributable to such providers.

6. Indemnification

You agree to defend, indemnify, and hold harmless Webmatics, its directors, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

• Your use of the Services;
• Your violation of these Terms; or
• Any content or activity originating from your account.

7. Suspension and Termination

We may suspend or terminate Services, with or without notice, if:

• We detect or receive credible reports of fraud, unlawful activity, or misrepresentation;
• You fail to pay fees when due; or
• You otherwise breach these Terms.

Where feasible, we will provide notice and an opportunity to remedy before permanent termination. Suspension is protective, not punitive. Deleted/terminated accounts may not be recoverable; please maintain your own backups.

8. Domain Names

• Domains registered through Webmatics are subject to applicable registry terms and ICANN policies.
• You must keep registrant contact data accurate and up to date and must not use domains to impersonate or unlawfully represent another entity.
• Domains must not be used for spam, phishing, or misleading activity.
• We may apply clientHold/serverHold (temporary suspension of DNS resolution) where misuse or a legal dispute is suspected, pending verification.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Data & Backups

While we implement reasonable security measures, you are solely responsible for maintaining backups of your data. Webmatics is not liable for data loss, corruption, or restoration costs.

11. Privacy & Data Protection

12. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
